Facebook is seeking a talented and flexible generalist International Counsel to join our legal department in India. You’ll be supporting Facebook’s international operations advising clients on issues relating to a broad range of subject matter. Diligent and proactive, you bring excellent business judgment, project management and strategic thinking, along with the ability to work independently. This position is based in Hyderabad, India.
Responsibilities
- Manage compliance with regulatory and statutory requirements in India, including the Companies Act, 2013
- Ensure timely filings of forms, returns and reports with relevant regulatory bodies
- Conduct board and member meetings, prepare minutes of all meetings and ensure timely filings of minutes/returns with Registrar of Companies
- Maintain and update statutory registers, records and returns and prepare annual report
- Prepare and file necessary e-forms with ROC for incorporating any changes as required under the Companies Act, including but not limited to, change in board of directors, change of auditors, obtaining necessary registrations, etc
- Coordinate and collaborate with other internal teams across a variety of legal matters
- Liaise with auditors as required to handle legal aspects of audit procedures
- Manage legal matters and coordinate with outside counsel
- Liaise with government and regulatory agencies as directed
- Review and negotiate NDAs and provide support on commercial matters
- Participation in other projects as directed.
Requirements
- Registered Member of Institute of Company Secretaries in India
- 3+ years of demonstrated legal experience in a law firm or in-house
- Law degree
- Excellent interpersonal skills and stakeholder management
- Excellent English communication skills
- Willing to roll up sleeves and get the job done, able to multi-task
- Exercise good judgment and provide practical solutions
- Experience liaising with government official and regulators
- Experience in internet/technology industry preferred
- Open to travel as required
